The High Court of Patna dismissed the Letters Patent Appeal in a matter of company winding up. The deceased father's heirs were held liable for his shares as the liability automatically falls upon the representatives upon death of a member. The court found the allegation that the deceased forfeited his shares to be untrue due to lack of evidence. Costs were awarded to the respondent.
