The petitioners were convicted under the Companies Act for not holding a general meeting within 18 months. The Registrar had condoned the delay, but the Sub-divisional Magistrate convicted them under a misapprehension. The conviction and sentence were set aside. In a connected case, the petitioners were convicted for not laying a balance sheet before the general body. Since the delay in holding the general meeting was condoned, the delay in filing the balance sheet was also deemed condoned. The conviction and sentence in this case were also set aside.
