Section 611 - Fees in Schedule X to be paid. - Companies Act, 1956Extract Fees in Schedule X to be paid. 611. [1] [(1)] In respect of the several matters mentioned in Schedule X, there shall, subject to the limitations imposed by that Schedule, be paid to the Registrar the several fees therein specified: Provided that no fees shall be charged in respect of the registration in pursuance of Part IX of a company, if it is not registered as a limited company, or if, before its registration as a limited company, the liability of the shareholders was limited by some other Act of Parliament or any other Indian law or by an Act of Parliament of the United Kingdom, Royal Charter or Letters Patent in force in India: [2] [ Provided further that in the case of resolutions to which section 192 applies, not more than one fee shall be required for the filing of more resolutions than one passed in the same meeting if such resolutions are filed with the Registrar at the same time.] [3] [(2) Any document required or authorised by this Act to be filed or registered, or any fact required or authorised by this Act to be registered, with the Registrar on payment of the fee specified therefor in Schedule X, may, without preju dice to any other liability, be filed or registered after the time, if any, specified in this Act for its filing or registration on payment of such additional fee not exceeding ten times the amount of the fee so specified as the Registrar may determine. [4] The additional fee payable under section 611(2) has been standardised and is now applicable to all companies irrespective of their authorised share capital and period of delay. (ii) More than one year 2.5.% p.m. on the fee payable under para I.3 or II.11 of Sch. X as the case may be. (b) Other documents. (i) Upto one month. One time of normal filing fee. (ii) More than one month Two times of normal filing fee. and upto three months (iii) More than 3 months Four times of normal fee. and upto six months. (iv) More than 6 months Six times of normal filing fee. and upto one year. (v) More than one year and Eight times of normal filing fee. upto two years. (vi) More than two years. Nine times of normal filing fee. Fixed rates of additional fee, as specified in column 3 of the above Table, shall be paid by the companies at the time of filing the documents. Documents filed belatedly will not be accepted by the Registrars without payment of additional fee. Registrars of Companies will not now be required to issue show cause notice/demand notice for late filing of documents by the companies. The aforesaid liberalised procedure will be convenient not only to the companies, but will also result in taking the documents on record expeditiously for public inspection.
