Amendment of section 173. 56. In section 173 of the principal Act, in sub-section ( 2 ), after the first proviso, the following proviso shall be inserted, namely:- Provided further that where there is quorum in a meeting through physical presence of directors, any other director may participate through video conferencing or other audio visual means in such meeting on any matter specified under the first proviso. .
