Disclosures in the offer document 5. (1) The offer document shall contain all material disclosures which are necessary for the subscribers of the debt securities to take an informed investment decision. (2) Without prejudice to the generality of sub-regulation (1), the issuer and the lead merchant banker shall ensure that the offer document contains the following: (a) 1 [ disclosures specified in Companies Act, 2013 and Rules prescribed thereunder; ] (b) disclosure specified in Schedule I of these regulations; (c) additional disclosures as may be specified by the Board. Explanation: For the purpose of this regulation, material means anything which is likely to impact an investors investment decision. ************* NOTES:- 1. Substituted vide Notification No. SEBI/ LAD-NRO/GN/2020/35 dated 08-10-2020 before it was read as the disclosures specified in Schedule II of the Companies Act, 1956;
