Subject:- Annual general meeting ‑ Procedure for holding adjourned annual general meeting Queries : 1. Is it necessary that notice of the adjourned general meeting is to be given to the members of a company? 2. If the adjourned meeting falls on a holiday, will there be any contravention of section 166(2), when the meeting is held on the holiday. 3. Is it contemplated by section 174(4) that a meeting of the board of directors is to be convened to fix another date for adjourned general meeting and, if so, is it necessary that notice thereof should be given to the members and what will be the period of such notices ? Answers: 1. Not necessary, unless the date of the adjourned general meeting is not decided at the original meeting itself. 2. There is no contravention of section 166(2) if the adjourned meeting comes to be accidentally held on a holiday. 3. If the board of directors fix another date for the adjourned general meeting, a notice is to be given to the members, in accordance with the provisions of the Act.
