Dear Sir, If the AOA does not contain for the issue of bonus shares, then it should be amended as per the provisions of the Companies Act, 2013 and also if required the authorized capital is required to be raised the same has to be incorporated in Memorandum of Association.] For the issue of Bonus shares, ordinary resolution is enough in the general meeting of the shareholders.
