submission of form 23B, Corporate Laws / SEBI / LLP

Dear sir,

one of my client incorporated a pvt ltd on oct 2012, but he was not appointed any statuary Auditor till date and he was approached me for appoint a auditor in company for audit  for the period of oct 2012 to march 2013, but Form 23B has not been submitted till now, So I deli ma to appoint for such audit ,so any one help me for appointment of such audit & how can be filed form 23b & procedure the same & also any resolution required.

If Board fails to appoint first auditors within one month from the date of registration of the company, it may be appointed in general meeting as per section 224(5) proviso (b).
