Predominantly, the dispute between the parties squarely falls within the purview of the Companies Act and the filing of application during those proceedings under section 45 of the Arbitration and Conciliation Act was just out of necessity and, therefore, merely filing of that application would not override the provisions of the Companies Act, viz., section 10(1)( a) and section 10F.
