2016 (4) TMI 1248 - HC - Companies LawApproval of the scheme of amalgamation and arrangement - Held that - The scheme has been approved by the respective Board of Directors (BOD) of the applicants. Copies of the BOD resolutions of even date i.e. 15.01.2016 have been filed. The applicants aver that there that there are no proceedings pending against them, under Sections 235 to 251 of the Act. Dispense with the requirement of convening the meetings of the shareholders of the applicants as also the creditors (ie. secured and unsecured) of the transferee company and transferor company need to be adhered to.

Consequently, a prayer was made to dispense with the requirement of convening meetings of the shareholders and creditors, which was granted by the court after examining the letters of consent and finding them in order. Given that all necessary consents had been obtained, the court allowed the joint application in the terms mentioned in the judgment. The judgment concluded with the direction for the issuance of a Dasti copy.
