Subject:- Names of original/alternate directors disclosed in prospectus all such directors should sign prospectus Query : Where the names of original directors and alternate directors are disclosed in the prospectus, would it be necessary to insist that such a prospectus should be signed by all such directors ? Answer : No. The provisions of section 60 should be read with provision of section 313 in respect of alternate directors. Because when the original directors sign, it will be assumed that they are in the State in which the meetings of the board are ordinarily held in which event the alternate directors will have no locus standi to act for the original directors. Thus, it would be sufficient compliance if either the original directors or the alternate directors sign the prospectus depending on the circumstances of each case.
