It is submitted that in view of consent by the secured creditor for the scheme of amalgamation, the meeting be dispensed with. Only the meeting of unsecured creditors is required to be convened. It is submitted that Rhodanthe Foods Private Limited has two equity shareholders and both of them have consented to the scheme of arrangement, their consent letters are annexed as Annexure-24. It has one secured creditor State Bank of India, which has given consent to the scheme of amalgamation. There are five unsecured creditors, who have given their consent to the scheme.
