Subject:- Application to Central Government for approval of change of name Conversion of a private company into a public one necessitates deletion of the word Private from its name. You will appreciate that deletion of this word involves change of name of a company in the same way as insertion of the word, consequent on its conversion from a public into a private one. It is not the conversion of a company that requires approval of the Government but the consequential change in the name that makes it necessary for it to apply to the Government for approval to the new name. Unless such change is approved by the Government under section 21, the Registrar has no power to make the necessary alteration in the certificate of incorporation, the register of companies and the memorandum of association in terms of section 23. Every care is, however, taken to ensure that no avoidable delay takes place in disposal of such applications. So far as conversions of companies from private to public are concerned, the possibility of delay could be further minimised if the company, at the same time as it issues notice to the shareholders of the meeting at which the amendments to its articles of association prerequisite to conversion of its private status into public are considered, submits an application to the Government for according their approval to the change of name involved.
