Suvject:- Defective documents - Registrars are advised to ignore minor defects where basic information is available is duly signed and filing fee paid The documents filed be examined to ensure that the basic information is available and is duly signed and filing fee paid. In such cases, the documents be accepted for registration and the minor defects, if any, be ignored. The staff engaged in the Procedural Cell should appreciate the basic objective of filing these documents and the purpose sought to be served therefor. For instance, in the annual return, the basic information relates to list of members and directors on the date of annual general meeting. So long as this information is available, a liberal approach be made with regard to other deficiencies, such as, indebtedness, scoring out inapplicable paragraphs, etc. Similarly, in case of Form No. 23, it may not be necessary, to call for copies of the notice of the meeting minutes of the meeting, etc. Likewise in Form No. 32, so long as the name of the director and the date of his appointment/cessation is available, the same may be accepted.
