Parties agreed on appointing independent director to resolve deadlock, facilitate board meetings focused solely on legal/statutory obligations. Independent director granted statutory remuneration and casting vote. Appellate tribunal directed to appoint independent director within three days to urgently address non-compliance. Appeal disposed.
