Name of company ‑ Availability of ‑ When name of a company is considered undesirable for registration ‑ Instances of - Companies Law - No. 10(1)‑RS/60,Extract Circular : No. 10(1) ‑ RS/60, dated 1 ‑ 4 ‑ 1960. [Superseded by MCA s new guidelines for deciding cases for availability of names issued in 2010.] Name of company ‑ Availability of ‑ When name of a company is considered undesirable for registration ‑ Instances of Section 20 provides that a company shall not be registered by a name which in the opinion of the Central Government is undesirable. A name is considered undesirable and a company is not allowed to be registered with such a name in the following situations : (a).if the name is identical with or to nearly resembles the name by which a company is already registered [names under which well known firms and other bodies are doing business are also considered undesirable for new company]; (b). if the proposed name is identical with or too nearly resembles a name of a company in liquidation; (c). if the proposed name differs from the name of an existing company merely on account of the addition or subtraction of words like New , Modern , Nav , etc., or the name of a place; (d). if the proposed name closely resembles the popular or abbreviated descriptions or nick names of important companies; (e). if it attracts the provisions of the Emblems and Names (Prevention of Improper Use) Act, 1950; (f). if it connotes Government s participation or patronage, unless circumstances justify it; (g). if it implies association or connection with or patronage of a national hero or any person held in high esteem; (h). if it includes the word Co‑operative ; (i). if it includes the words like Bank , Banking , Insurance , Investment and Trust unless the circumstances of a particular case justify the inclusion of such words; (j). if it includes a proper name which is not a name or surname of a director; (k). if it includes a name of a registered trade mark unless the consent of owner of the trade mark has been produced by the promoters; (l). if it is intended or likely to produce a misleading impression regarding the scope of its activities which would be beyond the resources at its disposal; (m). if the name suggests a business which is not undertaken by the company; (n). if the proposed name is the exact Hindi translation of the name of an existing company in English, especially an existing company with a reputation.
