Deemed Public Company ‑ Formalities to be complied with on deemed conversion under sub‑section (2) - Companies Law - Letter : No. 8/16(1)/61‑PR,Extract Letter : No. 8/16(1)/61 ‑ PR, dated 9 ‑ 5 ‑ 1961. Subject- Deemed Public Company ‑ Formalities to be complied with on deemed conversion under sub ‑ section (2) Query : There are no procedural details given in new section 43A by virtue of which private companies become public companies in certain cases. Is it sufficient that the Registrar is intimated ? What are the other formalities to be complied with ? Answer : When a private company becomes a public company due to the provisions of section 43A(1), then by virtue of section 43A(2) the said company is required to (a). file a declaration with the Registrar; (b). change its name; (c). bring its articles in consonance with the requirements applicable to a public company; and (d). take such other steps as would be necessary in regard to the number of its directors, members, etc.
